Bauwerk Acquires Boen Group

The Swiss parquet manufacturer Bauwerk, owned by Zurmont Madison Private Equity and EGS Beteiligungen AG, has agreed to acquire the Norwegian based Boen Group, international manufacturer and distributor of parquet flooring products. The shareholders of Boen will re-invest in Bauwerk as part of the transaction, which is subject to approval by the competent merger control authorities.

Bär & Karrer acted as legal advisor to Bauwerk. The team included Christoph Neeracher, Luca Jagmetti, Edoardo Buzzi, Philippe Seiler and Christian Hagen (all M&A) as well as Till Spillmann (Financing), Mani Reinert (Merger Control), Thomas Stoltz (Corporate) and Markus Wang (IP).

Der von Zurmont Madison Private Equity und EGS Beteiligungen AG gehaltene Schweizer Parketthersteller Bauwerk übernimmt die norwegische Boen Gruppe, eine internationale Produzentin und Vertreiberin von Parkettböden. Im Rahmen der Transaktion reinvestieren die Boen Aktionäre in die Bauwerk Gruppe. Die Transaktion steht unter dem Vorbehalt der Genehmigung durch die zuständigen Fusionskontrollbehörden.
