Bär & Karrer advises on the acquisition
of Smartenergy's business operations by

Edisun Power Europe AG (SIX: ESUN; “Edisun”), a company listed on the SIX Swiss Exchange, announced on 24 August 2026, that it had entered into a binding agreement with SMARTENERGY Group AG (“Smartenergy”) regarding the acquisition of Smartenergy’s business operations. The agreed purchase price amounts to approximately CHF 440 million. In connection with the transaction, a capital increase will be carried out, as part of which Smartenergy will acquire a majority stake in Edisun. To facilitate the transaction, Edisun’s shareholders approved the introduction of a statutory opt-out provision at the annual general meeting held on 29 May 2026. In its decision dated 18 May 2026, the Swiss Takeover Board confirmed the validity of this opt-out provision. The capital increase is expected to be implemented in the coming days, with SIX Swiss Exchange AG having approved a deferral of the listing of the newly issued registered shares for up to six months.
