Bär & Karrer Advises Mobimo Holding on
the Acquisition of EMWE Holding

On 7 August 2025, Mobimo Holding, a Swiss real estate company listed on the SIX Swiss Exchange, signed a share purchase agreement to acquire all shares in EMWE Holding which indirectly owns a real estate portfolio. Mobimo Holding paid 51% of the purchase price by issuing new shares to the sellers and the remaining 49% of the purchase price in cash. The new shares were issued by way of a capital increase with a contribution in kind out of Mobimo Holding capital band und subsequently listed on the SIX Swiss Exchange. The transaction was closed on 21 August 2025. Bär & Karrer acted as legal advisor to Mobimo Holding regarding capital markets aspects of the acquisition.
