Generali Wins Post-Merger Appraisal Litigation

Generali (Schweiz) Holding Ltd. wins post-merger appraisal litigation against claimants Prof. Ekkehard Wenger and Prof. Leonhard Knoll. The litigation commenced in 2006 following the successful public tender offer of Generali S.p.A. for all publicly held shares in Generali (Schweiz) Holding AG and the ensuing squeeze-out merger. On 30 April 2014, the district court of Horgen rejected the appraisal claims aiming at a higher compensation in the squeeze out and held that the compensation paid by Generali S.p.A. was fair and fully compliant with applicable laws.
