Completion of Merger Between Xstrata and Glencore to Create USD 90 Billion Natural Resources Group

Following the execution of a merger agreement on 2 February 2012 between Xstrata plc and Glencore International plc, each with its business headquarter in Switzerland, and extended merger clearance procedures, the all-share merger was completed on 2 May 2013 to create a USD 90 billion natural resources group, with Glencore Xstrata plc, a Jersey company with its headquarter in Switzerland, as the surviving company.

Bär & Karrer advised Swiss listed Xstrata whose shareholders receive shares in Glencore Xstrata plc in exchange for Xstrata shares.
